Company Registration in Digital Nepal Becomes Fully Online and Paperless

Thinking of registering a company in Nepal? The online company registration has truly become online and paperless. Thanks to the CAMIS by the Office of Company Registrar and here is what you should know.

Whether you’re an ambitious entrepreneur or just exploring the process, this guide is your go-to resource for understanding company registration under Nepal's current laws and digital system.

Until recently, registering a company in Nepal, even through the so-called "online" process, required applicants to print, sign, and submit physical documents to the Office of Company Registrar (OCR) in Tripureshwor, Kathmandu. But thanks to the new Company Administration Management Information System (CAMIS), the entire company registration process is now 100% online. No physical visits. No paper submissions. Everything, from reserving your company name to getting your certificate of incorporation, is done digitally.

That said, the process still involves legal documentation, structured formatting, and precise information, which is why many founders choose to leave it to the experts. Khatapana offers a complete company registration service starting at just Rs. 9,999/- (excluding government fees and applicable taxes), ensuring a smooth and hassle-free experience from start to finish.

Here’s a simplified and updated breakdown of the full process for 2025, ideal for entrepreneurs and business enthusiasts alike.

Step-by-Step Company Registration Process in Digital Nepal

Let’s walk through the six essential steps to register your private limited company under the Company Act, 2063 through the Office of Company Registrar.

Step 1: Create an Account in CAMIS

Step 2: Name Reservation

Start your journey by reserving a unique company name. Watch our video tutorial on how to reserve the name for your company in Nepal:

What you’ll need:

  • Select your company type (Private, Public, Non-Profit, Foreign)
  • Choose a company name (in both English and Nepali): Here are some guidelines while choosing a company name:
  1. The name must be unique and compliant with naming rules defined by the Office of Company Registrar.
  2. Name must not be identical or similar to an already registered company.
  3. Name must not be misleading, offensive, or against public morality.
  4. And, name should reflect the objective of the company (especially for industry-specific businesses).
  • Add your business objectives: You must define your business scope using NSIC (Nepal Standard Industrial Classification) codes. These objectives describe what your company does. e.g., software development, manufacturing, retail trading, etc.

Once submitted, the Office of Company Registrar reviews your request.
Timeline: Approval or rejection is usually given within 7 days.

NOTE: If your proposed name is rejected, you’ll receive feedback and can reapply with a new or revised name.

Reasons for rejection

When you apply to register a company, the Office of Company Registrar reviews your proposed name. Your name may be rejected if:

  1. It’s too similar to an existing company’s name
If your proposed name is exactly the same or looks/sounds very similar to a name that's already registered, it may confuse people. So, it won’t be approved.
  2. It goes against laws, public interest, or social values
If the name or business objective is illegal, offensive, misleading, or inappropriate (e.g., contains bad language, promotes harmful behavior, or violates public decency), it will be rejected.
  3. It matches the name of a previously cancelled or insolvent company
If the name is the same or very similar to a company that was shut down or declared insolvent (bankrupt) within the last 5 years, it can’t be used again to avoid confusion.

Once your company name is approved, we move on to the documentation part. This is what the portal looks like once your name has been approved:

Step 3: Preparation of Documents

Once your company name is approved, the next step is to prepare all required documents for submission. These documents form the legal foundation of your company and must be accurate, complete, and properly formatted.

Here’s a breakdown of what’s required:

1. Memorandum of Association (MOA)

The MOA outlines the core objectives of your company such as what your company is legally allowed to do. It defines the relationship between the company and its shareholders and sets the limits on the company’s powers.

Key contents include:

  • Company name and registered address
  • Business objectives
  • Share capital details
  • Information about promoters (founders)

2. Articles of Association (AOA)

The AOA governs the internal rules and regulations of the company. It outlines how the company will be managed, how decisions will be made, and the rights and responsibilities of shareholders and directors.

Key sections cover:

  • Voting rights
  • Board meetings and decision-making process
  • Appointment and powers of directors
  • Dividend policy

3. Application for Incorporation

This is the formal request to register the company. It includes general information such as:

  • Company type (e.g., Private Limited)
  • Proposed company name
  • Registered office address
  • Capital structure
  • Details of promoters and shareholders

4. Power of Attorney (POA)

A POA authorizes a specific person (usually a lawyer or service provider) to act on behalf of the promoters during the registration process. This document must be signed by all promoters.

5. Other Required Documents

These are supporting documents needed to verify the identity and address of the promoters and witnesses:

  • Citizenship Certificate (Nagarikta) – Notarized copy for each promoter and witness
  • National Identity Number (NID) – The unique ID issued by the government. National ID of each promoter is required.
  • PAN (Permanent Account Number) – Mandatory for tax purposes; each promoter must have one
  • Citizenship of Witnesses – One witness is required per promoter, and their citizenship certificate must also be notarized

Step 4: Fill the Company Registration Form

Once your company name is approved, you’ll be prompted to complete the registration form, which collects the foundational details of your business.

Information and documents required:

  • Address of your company
  • Capital structure (Authorized, Issued, and Paid-up Capital)
  • Details of promoters/shareholders, including:
    • Name
    • Address
    • Phone Number
    • National ID
    • Notarized copy of citizenship
    • PAN (Permanent Account Number)
  • Witness for each promoter:
    • 1 notarized copy of a citizenship certificate per witness

All details must be accurate and consistent across all documents.

Step 5: Generate or Upload Legal Documents

One of the most convenient features of Digital Nepal’s new online company registration system (CAMIS) is that it can automatically generate draft versions of your AoA and MoA based on the information you’ve already entered, such as company objectives, capital structure, number of promoters, etc.

This means:

  • You don’t have to create these documents from scratch.
  • You can review, edit, and customize the drafts within the system.
  • It ensures format accuracy and compliance with the requirements of the Office of Company Registrar.

If you prefer, you can also upload your own versions of the AoA and MoA, especially if they’ve been pre-drafted by your legal advisor or are tailored for a specific type of business.

NOTE: Whether generated by the system or uploaded manually, both the AoA and MoA must be verified and signed by a licensed advocate before final submission.

This step significantly reduces the burden on founders and ensures legal accuracy, making the registration process smoother and more efficient.

Step 6: Submit the Application with Documents

Now it’s time to submit your full registration application.

Your application should include:

  • All documents from Step 2 (identifications, address, witness details)
  • Finalized AoA and MoA (from Step 3)
  • Written Application for Company registration
  • Lawyer’s Notarized Copy of Bar Licence

OCR will review the application, and if everything is in order, you’ll receive approval. If there are any issues, remarks will be shared for correction and resubmission.

Step 7: Make Payment Based on Authorized Capital

The Office of Company Registrar (OCR) charges a registration fee based on the authorized capital of the company. Here’s a breakdown for different company types:
